Minutes from the Feb. 20 Executive Committee Meeting
The APFA Special Executive Committee Meeting was held on February 20, 2020. In accordance with the APFA Policy Manual, the official minutes of the Special Executive Committee Meeting are now available on the www.APFA.org website.
Resolution 1 – Approve the Agenda
Resolution 2 – NNRF Funds Withdrawal
The APFA Executive Committee (EC) held a Special Teleconference on February 10, 2020, to transfer funds from the Negotiations and Negotiations Related Fund (NNRF) to the General Operating account to cover Negotiating expenses from October 2019 thru December 2019.
Resolution #2 was read into the record as ‘passed’ (4 yes, 3 no, 2 absent) with no objection from anyone on the call, and the meeting was adjourned. Although the majority of those on the call that day voted in favor of the Resolution #2, our Constitution, Article III, Section 5.K. requires that during a teleconference of the EC, “…five (5) or more members voting in the affirmative shall be required to decide an issue…”
The inadvertent deviation from the Constitution was discovered after the call ended and National President Bassani then called a Teleconference for February 20, 2020, so that the technical requirements could be met. During the second call, the Resolution passed (7 yes, 2 no) meeting the requirements to pass the resolution.
It’s important to note that this is the reason the NNRF was created – to regularly cover negotiations related expenses. Funds are used from APFA’s General Operating account to cover day-to-day negotiation expenses. The National Treasurer submits a request via resolution – most often quarterly – to the EC to reimburse the General account by transferring funds from the NNRF. The EC has transferred from the NNRF account many times over the years – this is nothing new. Below is a list of meetings where funds were transferred by the EC.
